Statement of Business Principles

Our Vision

“The World at your fingertips” is our new vision slogan, which is technology neutral, and portrays TFL giving its customers global reach through their fingertips, be it telephony, internet or any future ICT communications technology.

Our Mission

“We exist to provide cost effective, efficient and reliable means of communication at any time from and to anywhere across the globe in a way that is seamless and maximises customer satisfaction whilst optimising returns to our shareholders.”

Introduction

This document outlines the general business principles upon which the conduct of business affairs of Telecom Fiji and its subsidiaries is based. These principles apply to corporate business decision-making as well as for the individual behaviour in conducting business on behalf of the Telecom Fiji Group.

Objectives

The objective of Telecom Fiji Group is to be responsible in conducting its businesses in the ICT sector and other businesses that it may from time to time choose to participate. It will undertake this in a safe, ethical, efficient, and profitable manner and will seek a high standard of performance at all times.

Responsibilities

We recognize five areas of responsibilities:

• To Shareholders

To maximize the long-term value of Shareholder’s investments.

• To Customers

The Telecom Fiji Group compellingly believes that it totally depends on winning and maintaining customer’s support. It will therefore to continue develop products and services that offer values to customers, supported by the requisite technologies and technological and commercial expertise and culture that is total in its customer commitment.

• To Employees

To provide all employees with good and safe workplaces; competitive remunerations; equal opportunities; promote development and best use of human talent and to recognize merit, performance and alignment to the corporate Vision, Mission and Values as the basis of advancement.

• To Society

To conduct it’s businesses as a responsible corporate citizen observing the Nation’s laws and giving proper regard to internationally recognized governance practices and to meet some societal obligations where it is deemed to be necessary by Management and the Board

• To Environment

In a world of finite resources and increasingly being made smaller by various interweaved global forces, we must play our part in protecting the environment in our business practices for the sake of our future generations.

Economic Principles

The criteria for investment decisions are essentially economic but must also take into account societal and environmental considerations.

Profitability is essential to discharge our responsibilities and for staying in business and in this respect, it is an ultimate measure of efficiency and the value people put on our products and services.

Proper allocation of corporate resources is essential to maintain investment to ensure we continue to provide products and services that meet consumer demands.

Without profit and a proper financial foundation in our balance sheets it would not be possible to fulfill the responsibilities outlined above.

Voluntary Code of Conduct

TFL Group policies will be consistent with the ILO Tripartite Declaration of Principles.

Business Integrity

TFL Group insists on honesty and integrity in all aspects of business. All employees are required to avoid conflicts of interests between their private financial activities and their part in the conduct of company business. The offer, payment, soliciting and acceptance of bribes in any form are totally unacceptable practices. All transactions on behalf of TFL Group must be properly in the accounts of the companies in accordance with the established procedures and are subject to audit.

Political Activities

TFL Group endeavors always to act commercially, operating within existing laws in a socially responsible manner, abstaining from participating in party politics. It reserves the right to speak out however in matters that affect the interest of employees, customers and shareholders and matters of general interest where the Group has a contribution to make based on its knowledge.

Political Payment

As a policy the Group does not make payments to political parties, organization and their representatives.

Employees

Employees in their capacity as citizens wish to engage in activities outside work place, including election to public office, favorable consideration is given, albeit to stand as a candidate in any national political election, one must first resign from being an employee of any companies in the Group.

Health, Safety & Enviroment

TFL Group Policy is to conduct its activities in such a way as to take foremost account of the health and safety of employees and of other persons, and to give proper regard to the conservation of the environment. We will comply with any existing laws regards these matters.

Such measures relate to safety of operations carried out by staff and contractors.

Support for Community Activities

TFL Group will take a constructive interest in societal matters that may not directly relate to the business, by supporting selected community education or charitable programs that meet genuine need.

Information

Full relevant information about TFL Group activities is provided to legitimately interested parties, subject to any overriding consideration of confidentiality proper to the protection of the business and the interests of third parties.

Application

This Statement of General Business Principles is the basis on which TFL Group pursues the highest standards of behavior in all its activities.

We will also promote the application of these Business Principles in our joint ventures with other companies.
